General Terms and Conditions (GTC)

1. Scope of Application
These General Terms and Conditions ("GTC") apply to all business relations between Kashif Najeeb (operating as Infomatrix) (hereinafter referred to as "Contractor") and its customers (hereinafter referred to as "Customer").
By placing an order or accepting a service, the Customer confirms that they have read, understood, and accepted these GTC. Conflicting or deviating terms and conditions of the Customer shall not apply unless explicitly accepted in writing by the Contractor.
2. Offer and Conclusion of Contract
- Offers: All offers made by the Contractor on the website or in other media are non-binding and subject to change, unless expressly designated as binding.
- Contract Conclusion: A contract is formed only upon the Contractor’s written confirmation of the order (e.g., via email) or upon the commencement of service delivery.
- Scope: The scope of services is determined by the written agreement or the specific offer accepted by the Customer.
3. Prices and Payment Conditions
- Prices: Unless otherwise agreed, all prices are quoted in Swiss Francs (CHF). For B2B transactions, prices are generally exclusive of Value Added Tax (VAT), unless stated otherwise.
- Payment Terms: Invoices are due for payment within the stated time on the invoide, without deduction.
- Default: If the Customer fails to pay by the due date, they will be in default without further notice. The Contractor reserves the right to charge default interest of 5% per annum and administrative fees for reminders.
4. Performance and Delivery
- Dates: Delivery dates and performance periods are indicative unless expressly agreed as binding in writing.
- Delays: Delays caused by force majeure or events beyond the Contractor’s control extend the delivery period accordingly.
- Third Parties: The Contractor is entitled to commission third parties to perform the contractual obligations in whole or in part.
5. Duties of the Customer to Cooperate
The Customer is obligated to provide the Contractor with all information and documents necessary for the performance of the service in a timely and complete manner. Delays caused by a lack of cooperation from the Customer are the responsibility of the Customer.
6. Liability and Warranty
- Standard of Care: The Contractor performs all services with the necessary diligence.
- Liability: The Contractor is liable only for direct damages caused by intent or gross negligence. Liability for slight negligence, indirect damages, or consequential damages (e.g., loss of profit, data loss) is excluded to the extent permitted by Swiss law.
- Warranty: If the service provided is defective, the Customer must notify the Contractor immediately in writing. The Contractor has the right to rectify the defect within a reasonable period.
7. Intellectual Property Rights
Unless otherwise agreed, all intellectual property rights arising from the performance of the contract (e.g., designs, code, concepts) remain with the Contractor until full payment of the agreed remuneration. Upon full payment, the Customer receives a non-exclusive right to use the work results for their intended purpose.
8. Confidentiality
Both parties undertake to treat as confidential all information designated as confidential or clearly recognizable as business secrets which becomes known to them within the scope of the contractual relationship.
9. Data Protection
The Contractor processes personal data in accordance with Swiss data protection laws. Details are provided in the separate Privacy Policy.
10. Final Provisions
- Severability: Should individual provisions of these GTC be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
- Amendments: Amendments and supplements to the contract require the written form.
- Applicable Law: These GTC and the entire legal relationship between the parties are subject to Swiss Law, excluding conflict of law rules.
- Jurisdiction: The exclusive place of jurisdiction for all disputes arising from this contract is Wil, Canton St. Gallen, Switzerland.
